Introduction

This Statement explains, in plain terms, the key risks of buying or holding cryptocurrency and of purchasing gift cards, gaming credit, or mobile top-ups through Libera Investments NV (“Libera Investments,” “we,” “us”). It does not describe every risk. If, after reading it, anything is unclear, contact us before you transact. Nothing in this Statement should be read as investment, legal, or tax advice.

1. Who we are and what this statement covers

Libera Investments NV is a private company registered in Suriname that facilitates the purchase and sale of cryptocurrency (including but not limited to Bitcoin, Ethereum, USDT, and Litecoin) and sells digital products such as gift cards (e.g., Steam, PlayStation, Xbox, Roblox, Amazon, Apple), games, and mobile phone or data top-ups. Libera Investments is not a bank, licensed broker-dealer, investment adviser, custodian, or payment institution, and does not hold any deposit-taking or investment-advisory license. Our role is limited to facilitating transactions you choose to enter into.

2. General risk warning

  • Cryptocurrency and digital products can lose some or all of their value or usefulness. You should never acquire more than you can afford to lose.
  • Libera Investments does not act as your financial adviser and assumes no fiduciary duty toward you, whether or not we answer questions or provide information at your request. You remain solely responsible for deciding whether a transaction is appropriate for you.
  • We do not guarantee any price, exchange rate, future value, return, or outcome in connection with any transaction.
  • Funds and digital assets held with Libera Investments, or transacted through us, are not covered by any government deposit insurance, investor compensation, or similar protection scheme in Suriname or elsewhere.

3. Risks specific to cryptocurrency

3.1 Price volatility

Cryptocurrency prices can rise or fall sharply and unpredictably, sometimes within minutes, in response to market sentiment, regulatory news, liquidity conditions, or events with no advance warning. Past price performance is not a reliable indicator of future results.

3.2 Irreversibility of transactions

Blockchain transactions are generally final once confirmed. If you send cryptocurrency to the wrong address, mistype an address, or authorize a transaction in error, it is usually impossible for Libera Investments or anyone else to reverse, cancel, or recover it.

3.3 Wallet security and self-custody

If you hold your own wallet and private keys or seed phrase, you are solely responsible for keeping them secure. Loss of your private keys or seed phrase, or their compromise by a third party, will typically result in permanent and irreversible loss of access to your funds. Libera Investments cannot recover lost keys, reset wallet passwords, or reverse unauthorized transfers made from your wallet.

3.4 Cybersecurity, phishing, and impersonation fraud

Scammers frequently impersonate cryptocurrency businesses, including through fake websites, fraudulent support accounts, and phishing messages. Libera Investments will never ask you for your private keys, seed phrase, or wallet password, and will never ask you to send funds to “verify,” “unlock,” or “insure” an account. Treat any such request, even if it appears to come from us, as fraudulent.

3.5 Regulatory and legal uncertainty

The legal and regulatory treatment of cryptocurrency varies by country, is evolving, and may change with little notice, including in Suriname. Future legal or regulatory changes could restrict your ability to buy, sell, hold, or transfer cryptocurrency, or could affect its value or tax treatment.

3.6 Tax implications

Buying, selling, holding, or spending cryptocurrency may have tax consequences in your jurisdiction of residence. Libera Investments does not provide tax advice. You are responsible for determining and meeting any tax obligations arising from your transactions.

3.7 Network, protocol, and technology risk

Cryptocurrency networks may experience congestion, elevated transaction fees, forks, software bugs, or upgrades that could delay, alter, or affect the transactions you make. Neither Libera Investments nor any third party guarantees the continuous, uninterrupted operation of any blockchain network.

3.8 Liquidity and counterparty risk

The ability to convert cryptocurrency to fiat currency, or vice versa, at a given price is not guaranteed and may be affected by market conditions, payment processor limitations, or restrictions on fiat withdrawals in your jurisdiction. Where Libera Investments relies on third-party exchanges, payment processors, or liquidity providers to complete your transaction, the failure or insolvency of such a party could affect our ability to complete or settle your transaction.

3.9 No investment advice

Nothing published or communicated by Libera Investments, including educational or informational content, constitutes investment advice or a recommendation to buy, sell, or hold any asset. You should conduct your own research and, where appropriate, consult an independent professional adviser before transacting.

4. Risks specific to gift cards, gaming credit, and top-ups

4.1 Final sale

Gift cards, gaming credit codes, and mobile or data top-ups are digital products that are typically non-refundable and non-exchangeable once the code has been delivered or the top-up has been applied, except where required by law or expressly stated otherwise by Libera Investments.

4.2 Third-party issuer risk

Gift cards and gaming credits are issued by their respective brands (for example, Steam, PlayStation, Xbox, Roblox, Amazon, or Apple), not by Libera Investments. Libera Investments is not responsible for the issuer’s own terms, regional restrictions, balance disputes, discontinuation of a platform, or changes the issuer makes to how a code may be redeemed.

4.3 Redemption and accuracy risk

You are responsible for redeeming codes correctly and promptly, and for checking that any region lock, currency, or platform requirements match your account before purchase. For mobile and data top-ups, you are responsible for providing the correct recipient number and operator; Libera Investments is not liable for top-ups delivered to a number or operator you provided incorrectly.

4.4 Fraud and misuse

Codes obtained through unauthorized or fraudulent means may be blocked, reclaimed, or invalidated by the issuing platform, which could result in your code failing to redeem, without any wrongdoing on Libera Investments’ part.

5. Compliance, verification, and conflicts of interest

  • To meet anti-money-laundering, counter-terrorist-financing, and know-your-customer obligations, Libera Investments may request identity or transaction information before completing a transaction, may decline or delay a transaction, or may report certain activity to competent authorities as required by law.
  • Libera Investments deals with a large number of customers and, at times, transacts for its own account. Conflicts of interest cannot always be entirely avoided; where they arise, we aim to manage them fairly and consistently with applicable law.
  • Libera Investments makes no representation that the prices, rates, or fees it offers are the best available in the market, and you should compare terms before transacting if that matters to you.

6. Limitation of liability

To the fullest extent permitted by applicable law, Libera Investments, its officers, employees, and affiliates are not liable for losses arising from market movements, third-party actions, your own error (including mistyped wallet addresses or recipient numbers), loss of private keys, regulatory changes, or events beyond our reasonable control. This Statement does not limit any liability that cannot lawfully be excluded.

7. Your acknowledgment

By using Libera Investments’ services, you confirm that you have read and understood this Risk Disclosure Statement, that you are transacting based on your own judgment (or that of your own independent advisers), and that you accept the risks described above as they apply to your transaction.
